Acceptance of Terms
By using fromchaos.co or engaging From Chaos Consulting Group LLC ("From Chaos," "we," "us") for services, you agree to these Terms & Conditions. If you do not agree, please do not use this site or engage our services.
Our Services
From Chaos provides fractional COO and embedded operations services for healthcare practices, including Embedded Operations, RCM Only, Own Your NPI (credentialing), and one-time Projects. Specific scope, deliverables, and pricing for each engagement are defined at the time of scoping and confirmed in writing before work begins.
Flat-Rate Pricing & Scope
Our pricing is flat-rate and scope-defined by design. Work outside a confirmed scope is treated as a separate, additional engagement and will be quoted and agreed to separately before starting.
Invoicing & Payment
For ongoing engagements, the first month is invoiced upfront, with subsequent payments billed on a set monthly date. Work is paused if payment is more than 5 days past due. For Projects, payment is due in full before work begins unless otherwise agreed in writing at the time of scoping. Fees paid for work already completed are non-refundable.
Client Responsibilities
Timely delivery of our services depends on clients providing accurate information and reasonably timely access to systems, staff, and documentation needed to do the work. Delays caused by incomplete or delayed client input may affect delivery timelines.
Confidentiality
Every engagement begins with a signed mutual NDA, and a Business Associate Agreement (BAA) wherever protected health information is involved. These agreements govern confidentiality obligations in more detail than this general Terms page.
Intellectual Property
Deliverables created specifically for a client under a paid engagement (e.g., an ops manual, employee handbook, or audit report) belong to that client upon full payment. From Chaos retains the right to reuse general frameworks, templates, and methodologies developed in the course of our work, provided client-specific and confidential information is not disclosed.
No Guarantee of Outcomes
Certain outcomes — such as payer credentialing approval timelines — depend on third parties (e.g., insurance payers) outside our control. We commit to timely, diligent work on your behalf, but we cannot guarantee third-party timelines or approval decisions.
Limitation of Liability
To the fullest extent permitted by law, From Chaos's liability for any claim arising from our services is limited to the amount paid for the specific engagement giving rise to the claim. From Chaos is not liable for indirect, incidental, or consequential damages.
Termination
Either party may terminate an ongoing engagement with written notice, subject to the terms confirmed at the start of that engagement. Fees for work completed prior to termination remain due.
Governing Law
These terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.
Changes to These Terms
We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. Continued use of this site or ongoing engagement after changes constitutes acceptance of the updated terms.
